This document is an electronic record in terms of the Information Technology Act, 2000 and the rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of the domain name https://sellvue.in ("Website"), including the related mobile site and mobile application (hereinafter referred to as the "Platform").

The Platform is owned and operated by Sellvue, a sole proprietorship of Suraj Kisan Viregaonkar, holding Udyam Registration UDYAM-MH-04-0260614, with its registered office at Pl 36, S. no. 189, Maruti Nagar, Mayur Park, Opp. Deogiri Bank, Jalgaon Road, Aurangabad, Maharashtra - 431001, India (hereinafter referred to as the "Platform Owner", "we", "us", "our"). Being a sole proprietorship, the enterprise is not incorporated under the Companies Act; the proprietor is personally the legal person behind the Platform.

Your use of the Platform and our services and tools is governed by the following terms and conditions ("Terms of Use") as applicable to the Platform, including the applicable policies which are incorporated herein by way of reference. If You transact on the Platform, You shall be subject to the policies that are applicable to the Platform for such transaction. By mere use of the Platform, You shall be contracting with the Platform Owner and these terms and conditions including the policies constitute Your binding obligations with the Platform Owner. These Terms of Use relate to your use of our website, goods (as applicable) or services (as applicable) (collectively, "Services"). Any terms and conditions proposed by You which are in addition to or which conflict with these Terms of Use are expressly rejected by the Platform Owner and shall be of no force or effect. These Terms of Use can be modified at any time without assigning any reason. It is your responsibility to periodically review these Terms of Use to stay informed of updates.

For the purpose of these Terms of Use, wherever the context so requires, "you", "your" or "user" shall mean any natural or legal person who has agreed to become a user or buyer on the Platform.

ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING.

1. General Terms of Use

The use of the Platform and/or availing of our Services is subject to the following Terms of Use:

  1. To access and use the Services, you agree to provide true, accurate and complete information to us during and after registration, and you shall be responsible for all acts done through the use of your registered account on the Platform.
  2. Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials offered on this website or through the Services, for any specific purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
  3. Your use of our Services and the Platform is solely and entirely at your own risk and discretion, for which we shall not be liable to you in any manner. You are required to independently assess and ensure that the Services meet your requirements.
  4. The contents of the Platform and the Services are proprietary to us and are licensed to us. You will not have any authority to claim any intellectual property rights, title, or interest in its contents. The contents include and are not limited to the design, layout, look and graphics.
  5. You acknowledge that unauthorized use of the Platform and/or the Services may lead to action against you as per these Terms of Use and/or applicable laws.
  6. You agree to pay us the charges associated with availing the Services.
  7. You agree not to use the Platform and/or Services for any purpose that is unlawful, illegal or forbidden by these Terms, or by Indian or local laws that might apply to you.
  8. You agree and acknowledge that the website and the Services may contain links to other third party websites. On accessing these links, you will be governed by the terms of use, privacy policy and such other policies of such third party websites. These links are provided for your convenience and to provide further information.
  9. You understand that upon initiating a transaction for availing the Services you are entering into a legally binding and enforceable contract with the Platform Owner for the Services.
  10. You shall indemnify and hold harmless the Platform Owner and its respective officers, agents and employees from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of Your breach of these Terms of Use, the Privacy Policy and other policies, or Your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.
  11. Notwithstanding anything contained in these Terms of Use, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event.
  12. These Terms and any dispute or claim relating to them, or their enforceability, shall be governed by and construed in accordance with the laws of India.
  13. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Aurangabad (Chhatrapati Sambhajinagar), Maharashtra, India.
  14. All concerns or communications relating to these Terms must be communicated to us using the contact information provided on this website, set out in full in section 10 below.

2. Definitions

"Seller" means any individual or business that creates an account on the Platform to sell products through social channels.

"Buyer" means any individual who purchases products through a Seller's campaign page hosted on the Platform.

"Campaign" means a product listing created by a Seller on the Platform, generating trackable links for distribution across social channels.

"Subscription" means the paid plan (Starter or Growth) that grants a Seller access to Platform features.

3. Eligibility and Account Registration

3.1 You must be at least 18 years of age to use the Platform. By creating an account, you represent that you have the legal capacity to enter into these Terms and that all information you provide is accurate and complete.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@sellvue.in if you become aware of any unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Sellvue offers paid subscription plans (Starter and Growth) with monthly, quarterly, and annual billing cycles. Plan details and pricing are available at sellvue.in.

4.2 Sellvue charges a flat subscription fee only. We do not charge any commission, service fee, or per-order fee on your sales.

4.3 Subscription fees are billed in advance through our payment gateway (Razorpay or PhonePe). By subscribing, you authorize recurring charges according to your selected billing cycle.

4.4 Prices are displayed before applicable taxes. If Sellvue is required to collect GST or other taxes, these will be added to your subscription fee.

4.5 We reserve the right to modify subscription pricing with at least 30 days' prior notice. Price changes will apply at the start of your next billing cycle.

5. Cancellation and Refunds

5.1 You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access to all features until then.

5.2 Subscription fees are non-refundable except in the following cases: (a) if we terminate your account without cause, or (b) if a technical issue on our end prevents you from accessing the Platform for more than 7 consecutive days.

5.3 A refund must be requested within 7 days of the charge. Once approved, it will take 7 days for the refund to be processed to you. Full details, including how to raise a request, are in our Refund and Cancellation Policy at sellvue.in/refund.

6. Seller Responsibilities

6.1 You are solely responsible for the products you sell, including their quality, legality, pricing, descriptions, and images.

6.2 You are responsible for fulfilling orders placed by Buyers, including shipping, delivery, returns, and customer support.

6.3 You must not use the Platform to sell prohibited items including but not limited to: illegal products, counterfeit goods, hazardous materials, regulated substances, or any items that violate applicable Indian laws.

6.4 You are responsible for complying with all applicable tax laws, including GST registration and filing if required by your business volume.

7. Payment Processing

7.1 Sellvue does not process Buyer payments directly. Sellers connect their own payment gateway account (Razorpay or PhonePe) to accept payments from Buyers.

7.2 All Buyer-to-Seller payment transactions are governed by the terms of service of the Seller's payment gateway. Sellvue is not responsible for payment processing failures, chargebacks, or disputes between Sellers and their payment gateway.

7.3 Payment gateway fees charged by the gateway are the Seller's responsibility and are separate from Sellvue's subscription fee.

7.4 Sellvue does not ship physical goods. Sellvue's own Services are delivered electronically, which is why no shipping policy applies to the Platform Owner. Shipping of Sellers' products to Buyers is the Seller's responsibility, as set out in section 6.2.

8. Intellectual Property

8.1 The Sellvue platform, including its design, code, features, branding, and documentation, is owned by Sellvue and protected under applicable intellectual property laws.

8.2 You retain ownership of all content you upload to the Platform, including product images, descriptions, and brand assets. By uploading content, you grant Sellvue a non-exclusive, worldwide license to display and distribute this content solely for the purpose of operating the Platform and your campaigns.

8.3 You must not copy, modify, distribute, or reverse-engineer any part of the Platform.

9. Data and Privacy, Availability, Liability and Termination

9.1 Your use of the Platform is also governed by our Privacy Policy available at sellvue.in/privacy. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

9.2 We strive to keep the Platform available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates, or experience downtime beyond our control. Sellvue is not liable for any loss of revenue, data, or business due to Platform downtime or technical issues.

9.3 Sellvue is a platform that enables Sellers to create campaigns, manage orders, and track performance. We are not a party to transactions between Sellers and Buyers.

9.4 To the maximum extent permitted by law, Sellvue's total liability for any claim arising from your use of the Platform shall not exceed the subscription fees paid by you in the 3 months preceding the claim. Sellvue is not liable for indirect, incidental, consequential, or punitive damages.

9.5 We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Platform in a manner that harms other users or our reputation. Upon termination, your access to the Platform will cease. Your data will be retained for 30 days after termination, during which you may request an export by contacting hello@sellvue.in, and thereafter only as required by applicable law.

9.6 We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Platform. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
